Terms of Service

These Terms govern your use of the services provided by Cornell Solutions LLC ("Cornell Solutions," "we," "us"). By engaging our services or signing an order form, you agree to these Terms.

1. The services

Cornell Solutions provides managed B2B outbound services, which may include prospect research, personalized email outreach, LinkedIn outreach, and an automated ("warm") AI voice agent that follows up on interested replies. The specific services included depend on the plan you select (Pilot, Core, Scale, or Partner).

2. Pilot engagements

The Pilot is a one-time, non-refundable engagement consisting of a limited, live outbound campaign on your behalf. If you continue to an ongoing retainer, the Pilot fee is credited toward your first month. The Pilot is not a guarantee of results.

You agree to provide accurate information, to have the right to contact the prospects and use any data you supply, and to use our services in compliance with all applicable laws — including anti-spam and electronic-communications laws (such as CAN-SPAM and similar regulations) and the terms of any third-party platform involved. You are responsible for the products, claims, and offers represented in your campaigns.

5. Deliverability & acceptable use

We operate to protect sending reputation, including isolated sending domains and sending caps. You agree not to direct us to send misleading content, to purchased or non-consented lists where prohibited, or in any manner that would violate applicable law or platform rules. We may pause or decline activity that puts deliverability, our infrastructure, or other clients at risk.

6. No guarantee of results

Outbound outcomes depend on many factors outside our control, including your offer, market, and pricing. We do not guarantee a specific number of replies, meetings, or revenue. Any figures shown on our website describe how the system is designed to perform, not a promised result.

7. Confidentiality

Each party will protect the other's non-public information and use it only to perform under these Terms.

8. Limitation of liability

To the maximum extent permitted by law, Cornell Solutions is not liable for indirect, incidental, or consequential damages. Our total liability for any claim arising from the services is limited to the fees you paid us in the three months preceding the event giving rise to the claim.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active clients, and continued use of the services constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles.
